Genoa, August 3, 2026 – EdiliziAcrobatica S.p.A. (“Company” or “Acrobatica“), parent company of the Acrobatica Group and listed on Euronext Growth Milan (ticker: EDAC) and Euronext Growth Paris (ticker: ALEAC), announces that it has today entered into an agreement with its lending banks and with the holder of the bond issued by the Company in 2020, aimed at rescheduling the maturity profile of the Company’s financial debt (the “Agreement“).
The Agreement is the result of discussions and negotiations carried out over the past months with the Company’s lending banks and the other parties involved, with the support of the Company’s financial and legal advisors, as part of the initiatives undertaken to strengthen the Group’s financial and capital structure.
The Agreement provides for a series of measures aimed at rebalancing the Group’s financial structure through the rescheduling of certain financial debt maturities, while maintaining the commitments undertaken towards its lenders.
The agreement reached will allow the Company to benefit from greater financial flexibility to support the implementation of its business plan and the actions already undertaken by the Group to enhance profitability and operational efficiency.
The Agreement also provides for compliance with certain financial covenants and forms part of a broader financial and capital strengthening process aimed at supporting the achievement of the Group’s business objectives.
The effectiveness of the Agreement remains subject to the satisfaction of certain conditions precedent set out in the relevant contractual documentation, including the approval and subsequent delivery, by 5 September 2026, of the Company’s draft separate financial statements as at 31 December 2025, together with the reports of the competent supervisory bodies.
The Company will promptly inform the market of the timetable for the approval of the draft separate financial statements and the consolidated financial statements as at 31 December 2025.
